TOGETHER INTO THE FUTURE: TROX GMBH BECOMES TROX SE

After 74 successful years, TROX GmbH changes its legal form and becomes TROX SE. This step reflects our international orientation with activities on six continents and numerous subsidiaries worldwide. With this change of name, we are thus recognising our international orientation and sending a further signal of our innovative strength and future viability.

The abbreviation SE stands for Societas Europaea - Latin for European Company - and describes a company with business activities in various European countries.

The Heinz Trox Foundation is and will remain the main company and we will therefore continue to maintain our sustainable shareholder structure and remain a foundation-bound group of companies.

Our economic and legal identity will also remain the same; contracts and tax numbers will remain identical. The conversion should be completed by May 2025 at the latest.

The future TROX SE is the parent company of the globally active TROX GROUP. The change to an SE emphasises our self-image as an internationally oriented company and supports our open and international corporate culture.

The Societas Europaea (SE) is a European stock corporation that enables companies to operate across borders within the EU and benefit from a standardised legal framework.

Why is the company being converted into TROX AG first?

Why is the company being converted into TROX AG first?

Unfortunately, it is not possible under company law to convert directly from a GmbH to an SE, so that the prior conversion to an AG is a necessary intermediate step.  However, this only takes place for a "legal second", as the conversion from TROX AG to TROX SE is carried out immediately afterwards. You can therefore convert your processes directly from TROX GmbH to TROX SE as soon as the conversion has taken place (see question 4).

With the entry of TROX SE in the commercial register, the conversion process is expected to be completed at the beginning of April, at the latest by May 2025. We will then inform you accordingly.

The immediate changes are very minor, as only the company form and the commercial register number for TROX SE will change.

What remains unchanged despite the conversion?

The economic and legal identity of the company will not change, only the legal form.

TROX will remain your strong and reliable partner - in future as TROX SE.

In particular, the following will therefore remain unchanged:

  • All previous valid contracts. As a result of the conversion, TROX SE will in future be obliged or authorised under these contracts.
  • Warranty and payment obligations
  • Insurance cover
  • Bank details
  • Tax numbers
  • Prices and terms of payment

No, our long-term shareholder structure with the Heinz Trox Foundation as the main shareholder (i.e. the only "shareholder") will not change as a result. We will also not go public. As a foundation-affiliated group of companies, we will continue to focus on sustainable and long-term successful corporate development.

Are there any personnel changes due to the reorganisation?

No, your existing contacts will remain available to you after the changeover. In particular, there will be no change in customer and supplier support.
The management will also remain unchanged in terms of personnel, but will act as a Management Board in future due to the change in legal form.

We will inform all our partners about the conversion completed through the entry in the commercial register, both through official communications and personal discussions, to ensure that all issues are clarified.
